End user licence agreement

This agreement is between you and the operator of Grassroo. It covers the Grassroo website, web application, and iOS and Android applications (together, the “service”). By creating an account or using the service you agree to these terms. If you use Grassroo for a club, you confirm you are allowed to do so.
1. Licence
We grant you a personal, non-exclusive, non-transferable, revocable licence to use the service to run clubs and teams you are authorised to manage, and to respond and pay where you have been invited. You may not copy, reverse engineer, resell, or use the service to build a competing product, except where the law says you may.
App Store and Google Play licences also apply to the native apps. If those store terms conflict with this agreement for the native binary, the store’s terms govern the download; this agreement still governs your use of Grassroo accounts and club data.
2. Your account
You must provide accurate contact details and keep them current. You are responsible for activity under your login. Tell us if you think the account is compromised. We may suspend access where we reasonably believe the terms are being broken or the service is at risk.
3. Clubs, players and content
A user is not a player. Club admins and managers are responsible for the player records, events, invitations and messages they create, including that they have a lawful reason to hold children’s names and parent contacts. You must not upload unlawful, abusive, or infringing content. You grant us a licence to host and process that content solely to provide the service.
4. Payments
Grassroo does not take match fees as the merchant. Clubs connect a Stripe account. Payments are processed by Stripe. Apple Pay and Google Pay are offered through Stripe Checkout. Refunds, disputes and payouts are between the payer, the club, and Stripe. We record obligations and that money arrived so the club can see who has paid.
You must not attempt to collect card details inside Grassroo or ask anyone to bypass Checkout.
5. Acceptable use
You must not:
- probe, overload, or disrupt the service;
- access another club’s data;
- use the service to send spam — reminders exist for outstanding recipients only;
- misrepresent a payment, availability response, or identity;
- use SMS or email channels we provide for anything other than the product’s purpose.
6. Availability and changes
We aim to keep Grassroo available but do not promise uninterrupted access. We may change features, including by live update of the web bundle on native apps. Native plugin or store-binary changes still go through the stores. We may set a minimum client version when an update is required for the service to work.
7. Intellectual property
Grassroo, the logo, and the product remain ours. Club logos and club content remain the club’s. Feedback you send may be used to improve the service without obligation.
8. Liability
The service is provided as is, for grassroots sports administration. We are not responsible for whether a player turns up, whether a fee is actually owed, or for decisions a club makes with the information in Grassroo. Nothing in these terms limits liability that cannot be limited under English law, including for death or personal injury caused by negligence, or for fraud.
Subject to that, we are not liable for indirect or consequential loss, lost profits, or loss of data, and our total liability for a claim relating to the service is limited to the amount you paid us for the service in the 12 months before the claim (or £100 if you paid nothing).
9. Termination
You may stop using Grassroo at any time. We may end this licence if you materially breach it and do not remedy the breach when asked, or immediately for serious misuse. On termination your licence ends. Clauses that should survive (including 7, 8 and 10) do.
10. Law
These terms are governed by the law of England and Wales. Courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in your place of residence where the law allows.
